Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the website and related online services operated by or on behalf of Dead Labs (the "Operator," "we," "us," or "our") for the Decapination project at decapination.xyz (the "Site"). The Site may include links to third-party platforms (such as NFT marketplaces and social channels).

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site. Certain features (including Black Market campaigns, ACID rewards, and account-linked services) may have additional rules displayed in-product or in supplemental terms incorporated by reference.

We may update these Terms from time to time; the "Last updated" date at the top of this page will change. Continued use after changes constitutes acceptance of the revised Terms where permitted by law. If you do not agree to updated Terms, you must stop using the Site.

2. Eligibility and restricted use

You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher), to create an account or participate in Black Market or other chance-based features on the Site.

You represent that you have the legal capacity to enter into these Terms and that your use of the Site complies with applicable laws, including laws related to digital assets, promotional games, and economic sanctions (including OFAC and equivalent restrictions). You may not use the Site if you are located in, ordinarily resident in, or a national of a jurisdiction where use of the Site or participation in promotional games is prohibited.

You may not use Black Market, raffles, tombola, or similar chance-based features where prohibited by local law, including where registration, bonding, or a no-purchase-necessary alternative is required and we have not provided one. You are solely responsible for determining whether your participation is lawful in your location.

Core account features require a Discord account. You may maintain only one account per person. You may not create accounts for others, sell or transfer accounts, use bots or automated means to interact with the Site (except as we expressly permit), or use the Site for professional or commercial gambling operations.

3. Accounts, authentication, and wallet linking

The Site offers account features authenticated primarily through Discord OAuth. You may optionally link an X (Twitter) account and one or more Ethereum wallets using Sign-In With Ethereum (SIWE).

You are responsible for maintaining the security of your Discord and linked accounts and for all activity under your account. You must provide accurate profile information and must not impersonate others or misrepresent your affiliation with the Operator or the Decapination project.

Wallet linking is for identity verification and feature access only. We do not custody your cryptocurrency, NFTs, private keys, or seed phrases, and we will never ask you for them. Linking a wallet does not authorize us to move assets on your behalf.

Wallet linking currently supports externally owned accounts (EOAs) on Ethereum mainnet. Smart contract wallets and non-mainnet addresses may not be supported. You may unlink wallets from your account settings; we may retain historical records as described in our Privacy Policy.

We may suspend or terminate your account for violations of these Terms, suspected fraud or abuse, legal requirements, or operational reasons. Account deletion is not available as a self-service feature today; contact us at the email below to request deletion, subject to legal retention requirements.

4. Description of services

The Site provides community features for the Decapination NFT collection, including a gallery, leaderboard, user profiles, quests, daily check-in, referrals, community surveys and feedback forms, a hire (work-with-us) inquiry page, and the ACID engagement economy.

The Black Market offers promotional games such as raffles and tombola. Entries may be free or may require spending ACID (a platform utility described in Section 6). Additional product types may be added or removed over time.

The Site displays NFT ownership information using a third-party blockchain indexer. Minting, listing, and trading of NFTs typically occur on third-party platforms (for example, OpenSea) and on public blockchains.

The Site does not initiate on-chain transactions on your behalf. Blockchain interaction on the Site is limited to read-only ownership queries and user-initiated SIWE signature verification for wallet linking.

5. NFTs, blockchain, and third-party platforms

Nothing on the Site is investment, financial, tax, or legal advice. Digital assets, including NFTs, can be volatile and illiquid. Transactions on blockchains are often irreversible. Smart contracts, networks, and third-party platforms are not controlled by the Operator; their operation, fees, and availability may change without notice.

We do not guarantee any particular price, rarity outcome, secondary market activity, or future utility (including community rewards, tokens, merchandise, or experiences mentioned in marketing or FAQs). Roadmap-style statements are aspirational and may change.

Ownership and holder eligibility displayed on the Site are based on data from a third-party indexer (Hasura). Indexed data may be delayed, incomplete, or inaccurate and is typically cached for short periods. Holder-gated features depend on indexed data at the time of your request, not necessarily real-time on-chain state.

The Decapination collection is associated with the smart contract at 0x3A514215e8A2607d14F5AaA9Fa5160b1b127B43E on Ethereum mainnet. We do not control gas fees, chain congestion, wallet software, or third-party marketplace policies.

6. ACID, XP, referrals, and gamification

ACID and experience points ("XP") are optional, non-transferable platform features used to track engagement and reward participation on the Site. They are not cryptocurrency, securities, or any other regulated financial instrument; they have no cash value; and they cannot be purchased, sold, or redeemed for cash, cryptocurrency, or any guaranteed item of value.

You may earn ACID and XP through activities such as connecting Discord, linking a wallet, daily check-in, completing quests, completing community surveys when offered, referrals, winning Black Market prizes, or administrative grants. You may spend ACID on features such as Black Market entry, handle customization after your first free change, and (when enabled) peer tipping.

ACID, XP, the leveling system, streaks, leaderboards, quests, referral rewards, and any related earning rates or mechanics are experimental. We may adjust, rebalance, reset, claw back, or discontinue any of them at any time, with or without notice, at our sole discretion, including through administrative correction of balances.

Leaderboard rankings and levels are for entertainment only and confer no legal rights. Referral rewards are discretionary and may be denied, reversed, or modified by administrators.

When enabled, tipping allows transfer of ACID between users subject to published limits. Tipping is not money transmission and does not involve fiat currency or cryptocurrency.

7. Black Market and promotional games

Black Market campaigns (including raffles and tombola) are promotional games operated by the Operator. They are not gambling services. Participation does not involve wagering real money on the Site today. Spending ACID for entry consumes ACID with no cash refund except as required by applicable law or as we expressly state for a specific campaign.

Entries are final once submitted. We do not guarantee that you will win any prize. Prize availability is limited. Some campaigns may require ownership of a Decapination NFT as shown by our indexer at the time of entry.

Draws use a server-side commit-reveal process. Proof pages and draw records are provided for transparency but do not constitute a warranty that the process is error-free or suitable for any particular regulatory standard. On-chain randomness providers (such as Chainlink VRF) are not used for current campaigns.

ACID prizes are credited automatically when a draw settles. Non-ACID prizes (including NFTs, physical goods, access passes, or other digital assets) are fulfilled manually through our administrative queue. Timelines are not guaranteed. We may require additional information (such as shipping details, identity verification, or wallet confirmation) before fulfilling a prize.

We may cancel, modify, postpone, or void campaigns for errors, fraud, legal requirements, or operational reasons. If we do so, our remedy may include ACID refunds, substitute prizes, or no remedy, to the fullest extent permitted by law.

Campaign descriptions may be created by administrators or, where enabled, approved creators. We do not endorse third-party prize claims beyond what we publish for a specific campaign. Crypto-denominated entry and lootbox-style products are not available in the current version; additional terms will apply if launched.

8. User-generated content

You may submit content such as a profile handle, bio, linked social information, and responses to community surveys or feedback forms. Administrators or approved creators may submit campaign titles, descriptions, and prize labels.

You retain ownership of your content, but you grant the Operator a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Site.

You represent that your content does not violate law or third-party rights and is not misleading (including regarding prizes or odds). You agree not to post illegal, infringing, harassing, hateful, or deceptive content.

We may remove or modify content at any time without notice. We are not obligated to monitor user content.

9. Intellectual property

The Site and its content (including branding, text, graphics, and design) are owned by the Operator or its licensors unless otherwise noted. Subject to any separate license published for NFT holders (for example, for profile picture use), you may not copy, modify, distribute, or create derivative works from Site content except as allowed by law or express written permission.

You may not use the Operator's trademarks or collection names in a way that suggests endorsement, creates confusion, or infringes third-party rights. Rights for artwork tied to purchased NFTs are governed by any license or terms published with the applicable smart contract, marketplace listing, or official collection materials.

Your handle, bio, and other profile information may be displayed publicly on leaderboards and related features.

10. Acceptable use and prohibited conduct

You agree not to misuse the Site, including by:

• attempting to interfere with security, availability, or integrity of the Site;
• using automated means (bots, scrapers, scripts) to access features in violation of our policies or applicable law;
• exploiting ACID, referral, quest, check-in, or Black Market systems; multi-accounting; or wash participation;
• manipulating entries, draws, proof systems, or holder-gate checks;
• harassing others, distributing malware, or impersonating the Operator, its team, or other users;
• circumventing sanctions, geographic restrictions, or authentication requirements;
• using the Site to launder value or evade law enforcement.

11. Purchases, prizes, and refunds

ACID cannot be purchased with money on the Site. ACID spent on platform features (including Black Market entry) is not refundable except as required by applicable law or as we expressly state for a specific campaign.

Black Market participation does not involve direct cash payments on the Site in the current version. If we later enable paid entry or merchandise checkout, additional terms will apply at the point of purchase.

If we offer physical or digital goods for sale (including apparel), additional terms may apply at checkout (including price, taxes, shipping, and returns). Orders may be subject to acceptance, inventory limits, and fraud checks. Return and refund policies will be posted with the store.

Winners of non-ACID prizes are responsible for any taxes, duties, import fees, or transfer costs associated with receiving a prize, unless we state otherwise for a specific campaign.

12. Third-party services

The Site integrates with third-party services including Discord, X (Twitter), WalletConnect and wallet extensions, OpenSea and other NFT marketplaces, Vercel (hosting and analytics), Google Analytics (when configured), Sentry (error monitoring), Arcjet (bot protection), Inngest (background processing), and a Hasura-based blockchain indexer.

Your use of third-party services is subject to their own terms and privacy policies. We are not responsible for outages, policy changes, data practices, or acts or omissions of third parties.

13. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Without limiting the foregoing, we disclaim warranties regarding Black Market outcomes, prize fulfillment timelines, indexer accuracy, ACID balances, leaderboard rankings, and the continued availability of any feature.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, DIGITAL ASSETS, ACID BALANCES, OR PRIZES, ARISING FROM YOUR USE OF THE SITE OR RELATED SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR GOODS OR SERVICES PURCHASED DIRECTLY FROM US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE PROHIBITED BY LAW. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

We are not liable for losses arising from your wallet, private keys, on-chain transactions, third-party marketplaces, or blockchain networks.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Operator and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your participation in Black Market campaigns, your user content, your violation of these Terms, or your violation of third-party rights.

16. Suspension and termination

We may suspend or terminate your access to the Site or any feature at any time, with or without notice, for any reason permitted by law.

Upon termination, your right to use the Site ends immediately. We may handle any remaining ACID balance, pending entries, or unfulfilled prize claims at our discretion, subject to applicable law. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive.

17. Governing law and disputes

These Terms are governed by the laws of the jurisdiction where the Operator is established, without regard to conflict-of-law principles.

Before pursuing formal proceedings, please contact us at decapinationnft@gmail.com so we can try to resolve the matter informally. If a dispute cannot be resolved informally within sixty (60) days, either party may seek relief in the courts of competent jurisdiction where the Operator is established, subject to mandatory consumer protections in your country or region of residence.
